The
Company Vision International People Group Public Limited («the Company») announces
the following:
1. First, we would like to remind you that in the Announcement of the Company dated on
the 13th of September, 2017, the Cyprus Stock Exchange as well as investors have been
informed about a serious potential of collaboration with FREEDOM INTERNATIONAL
GROUP based in Hong Kong. However, and not having concluded a definitive
arrangement for such cooperation at the time, the Company expressed its intention to
announce at a later stage and at the finalization of the discussions its formal decisions on
the level of this cooperation.
2. During the last hours and without any prior information and/or any respective decision of
the Company's Board of Directors, the Board of Directors realised that the Company's
operations appear to be controlled by third parties not legally affiliated with the Company
which are reasonably assumed to have a direct relationship with FREEDOM
INTERNATIONAL GROUP.
3. The online stores from which the distributors purchase the products of the Group have
been channelled to a new online store
http://www.vision.group which appears to belong to a
Russian company under the name Vision Classic LLC and which has no legal or other
relationship with our Group.
4. This website
http://www.vision.group appears to be complete and includes all the information
that one would expect to see for the Group's activities, products, distributors etc., whilst
the use of the Group's logo is also obvious with copyrights belonging to the Company. In
essence, however, this site belongs to a company that has no relationship with the
Company.
5. The Board of Directors of the Company considers that the preparation of the Annual
Report for the year 2017 becomes extremely difficult since it appears that there is no
control over the Company's operations and there seems to be no prospect of appointment
by us of a new Executive Director and / Under such circumstances
6. In view of the above and considering that these developments directly affect the interests
of the Company's investors and also the position of the Directors of the Company as a
position of responsibility, the members of the Board of Directors of the Company,
namely Mr. Yiannakis Hadjihanas, Mrs. Anastasia Argyrou and Mrs Antigone Georgiou,
(Mr. Alexander Zhbanov is in the hospital and any communication with him at present is
impossible), resign from their positions as Directors with immediate effect and by the end
of the working day of December 5, 2017. The Directors consider that these acts, which
were made at their ignorance and without following any legitimate actions and
procedures, are invalid, illegal and are not adopted by them under any circumstances.
7. Due to the above events, Mrs. Maria Andreou also submitted her resignation from her
position as Secretary and Compliance Officer of the Company with immediate effect and
by the end of the working day of December 5, 2017.

Вчера были согласованы все условия сделки по слиянию компаний Freedom International Group Limited и VISION под единым брендом FREEDOM GROUP. При этом сохраняется бренд VISION в отношении продуктовой линейки этой компании. Это третий бренд в портфеле брендов компании FREEDOM GROUP, наряду с БИНГ ХАН и COFFEECELL.
Президентом объединенной компании FREEDOM GROUP остается Нарек Сираканян, основной владелец VISION Дмитрий Буряк получит пост Председателя Совета Директоров, пост Главного исполнительного директора сохраняет Станислав Одинцов.
